Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Listing Stack LLC, a Washington limited liability company ("ListingStack," "we," "us"). They govern your access to and use of the ListingStack website, applications, and related services (the "Service").

1. Acceptance

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you're using the Service on behalf of a brokerage, team, or other entity, you represent that you have authority to bind that entity, and "you" in these Terms refers to both you and that entity.

If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. ListingStack is designed for licensed real estate professionals and agencies; you are responsible for ensuring your use of the Service complies with all laws and regulations that apply to your practice (including real-estate licensing rules, fair-housing laws, TCPA, CAN-SPAM, CASL, and state-specific rules on email, SMS, and record retention).

3. Your account

You're responsible for:

  • Maintaining the confidentiality of your credentials
  • All activity that happens under your account
  • Ensuring the information you provide is accurate and current
  • Promptly notifying us of any unauthorized access

We may suspend or terminate your account if we reasonably believe it's being used to violate these Terms or applicable law.

4. Subscriptions & billing

Some features are offered under paid subscription plans. By subscribing to a paid plan, you agree to the pricing and billing terms presented at checkout. Plans renew automatically at the end of each billing period until you cancel. You can cancel any time in your account settings; cancellation takes effect at the end of the current billing period.

Except where required by law, fees are non-refundable. If we change prices, we'll notify you at least 30 days before the change takes effect, and the new price applies to your next renewal.

Taxes are not included in listed prices unless stated. You're responsible for any sales, use, or similar taxes that apply to your subscription.

5. Acceptable use

You agree not to:

  • Use the Service for anything illegal, fraudulent, or harmful
  • Upload content that infringes another party's rights
  • Send spam, phishing, or unsolicited commercial communications through the Service
  • Send SMS or email to anyone who has not given you valid express consent
  • Attempt to circumvent security, rate limits, or access controls
  • Reverse-engineer, decompile, or scrape the Service beyond what's allowed by law
  • Resell, white-label, or sublicense the Service without our written permission
  • Use the Service to build a competing product

Violations may result in suspension, termination, and in serious cases, legal action.

6. Your content

You retain ownership of the content you upload — your contacts, listings, deals, emails, documents, and messages ("Your Content"). By using the Service, you grant us a limited, worldwide, royalty-free license to store, process, and display Your Content solely for the purpose of providing the Service to you.

You represent and warrant that you have the rights needed to upload Your Content and that it doesn't infringe anyone's rights, including privacy rights of the people listed in your contacts.

When you close your account, we will delete Your Content within 90 days, as described in our Privacy Policy. You're responsible for exporting any data you want to keep before that window closes.

7. Our intellectual property

The Service — including the software, design, brand, and related content (but excluding Your Content) — is owned by Listing Stack LLC and protected by intellectual property laws. You get a limited, revocable, non-exclusive, non-transferable license to use the Service while these Terms are in effect. No other rights are granted.

8. Third-party services

The Service uses third-party vendors (listed in our Privacy Policy) and may link to or integrate with services we don't control. We're not responsible for the availability, terms, or content of those services, and your use of them is at your own risk.

9. Termination

You can stop using the Service and close your account at any time. We can suspend or terminate your access for breach of these Terms, non-payment, or risk to the Service or other users. On termination, your right to use the Service ends and we'll delete Your Content within the window described in our Privacy Policy.

Sections that by their nature should survive termination — including your content license grant, our intellectual-property ownership, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT EMAILS, SMS MESSAGES, OR OTHER COMMUNICATIONS WILL BE DELIVERED TO ANY PARTICULAR RECIPIENT, OR THAT THE SERVICE WILL MEET YOUR EXPECTATIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTING STACK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Listing Stack LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) Your Content, (c) your violation of these Terms or applicable law, or (d) your violation of any third party's rights — including the rights of anyone you communicate with using the Service (for example, recipients of your emails or SMS messages).

13. Governing law & venue

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. Subject to the arbitration section below, any lawsuit arising from or related to these Terms must be brought exclusively in the state or federal courts located in Spokane County, Washington, and you consent to personal jurisdiction there.

14. Arbitration

Except for claims for injunctive relief or intellectual-property disputes, any dispute arising from or related to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, held in Spokane County, Washington, in English, by a single arbitrator. Judgment on the award may be entered in any court with jurisdiction.

No class actions. You and we agree to bring claims only in your or our individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. If this class-action waiver is unenforceable, the entire arbitration section will be null and void.

You may opt out of arbitration by sending written notice to legal@listing-stack.com within 30 days of first accepting these Terms.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date, and account holders will receive email notice at least 15 days before the changes take effect. Continued use after changes take effect means you accept the updated Terms.

16. Miscellaneous

  • Entire agreement. These Terms (plus the Privacy Policy and SMS Terms) are the entire agreement between you and us about the Service.
  • Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays caused by circumstances beyond its reasonable control.
